These Terms of Service (the “Terms”) govern your use of Please Cite Me! (the “Service”), provided by Abeam Tech Inc. (“we,” “us,” or “our”). By using the Service, you agree to these Terms.
1. Scope
These Terms apply to every relationship between you and us concerning the Service. Product notices, usage guidance, and policies displayed in the Service form part of these Terms.
2. Accounts
- A Clerk account is required to use the Service.
- You must be at least 18 years old or otherwise have reached the legal age to enter into these Terms where you live.
- If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
- You must provide accurate information and keep your authentication credentials secure.
- You may not transfer, lend, or share an account with another person.
- Account deletion cannot be undone. After deletion, access to the Service and audit history cannot be restored.
3. Page audits
The Service retrieves public webpages and provides technical and content assessments for editorial reference. Scores, AI analysis, and recommendations are not guarantees of search ranking, AI citation, revenue, or any other outcome.
4. Your responsibilities
- You must have a lawful basis or appropriate authority to submit each URL for processing.
- Do not submit pages containing confidential information, personal data, or content that requires authentication.
- You remain responsible for editorial, publishing, and business decisions made using an audit result.
5. Paid plans and payment
Prices, billing intervals, taxes, currency, and payment methods are shown before purchase and in Stripe Checkout. Monthly and annual plans renew automatically at the end of each billing period until cancelled. Stripe processes payment details; we do not store card numbers.
6. Cancellation and refunds
You can open Stripe billing management from the Plan page and cancel your subscription at any time. A standard subscription cancellation takes effect at the end of the current paid period, and Pro remains available until that date.
Deleting your account is different from a standard subscription cancellation. Account deletion ends access to the Service immediately and triggers cancellation of any active subscription. You cannot use any remaining paid period, and your account and audit history cannot be restored.
Because the Service is digital, completed payments are generally non-refundable and are not prorated after either a standard cancellation or account deletion. This does not limit refunds required by applicable law, the rules governing Stripe Managed Payments, or a failure for which we are responsible.
7. Fair use
Paid plans are designed for normal, interactive use. We may temporarily limit requests, require additional verification, or discuss an appropriate arrangement when we detect automation, unusually concentrated traffic, or use that places an excessive load on the Service.
8. Prohibited conduct
- Violating law or public policy
- Infringing intellectual property, privacy, or other rights
- Unauthorized access, evading security controls, reverse engineering, or deliberately overloading the Service
- Declaring false billing-country, account, or transaction information
- Using the Service or its output for unlawful, fraudulent, or misleading activity
- Any other activity we reasonably determine to be harmful
9. Intellectual property
The Service software, design, marks, audit methods, and scoring systems belong to us or their respective licensors. Rights in a webpage submitted for diagnosis remain with its existing rights holder.
10. Service changes and interruption
We may change or interrupt all or part of the Service for maintenance, outages, third-party service failures, force majeure, security needs, or other reasonable operational reasons.
11. Suspension and termination
We may restrict use, suspend, or terminate an account without prior notice when these Terms are breached, payment is overdue, use appears fraudulent, or action is reasonably necessary to protect the Service or its users.
12. Disclaimers and limitation of liability
We do not warrant that the Service will be uninterrupted, error-free, complete, accurate, or suitable for a particular purpose. To the extent permitted by law, and except for our willful misconduct or gross negligence, our liability is limited to direct and ordinary damages.
13. Changes to these Terms
We may revise these Terms as permitted by law. We will provide notice of material changes in the Service, by email, or through another appropriate method.
14. Governing law and jurisdiction
These Terms are governed by Japanese law. the court with jurisdiction over our registered head office has exclusive jurisdiction in the first instance over disputes related to the Service.
